1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the ORRANGE website, applications, and services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree, you may not use the Services.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Services. You may not use the Services if you are located in, or a resident of, any jurisdiction where use of the Services is prohibited by law. By using the Services, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access most features, you must create an account and complete identity verification. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials, including any wallet recovery phrases or private keys. You are solely responsible for all activity that occurs under your account.

4. Description of Services

ORRANGE provides a peer-to-peer platform that facilitates the conversion of USDC and INR between users and verified merchants. We are not a bank, money transmitter, custodian, or securities exchange. We provide technology and escrow infrastructure to facilitate trades; we do not take custody of fiat funds, and blockchain asset custody is non-custodial through your connected wallet.

5. User Conduct and Prohibited Activities

You agree not to use the Services for any unlawful, fraudulent, or abusive purpose. Prohibited activities include, but are not limited to:

  • Money laundering, terrorist financing, sanctions evasion, or other financial crimes.
  • Providing false, misleading, or inaccurate information during registration or verification.
  • Interfering with, disrupting, or attempting to gain unauthorized access to our systems.
  • Using the Services to exploit, defraud, or harm other users or third parties.
  • Reproducing, reverse-engineering, or distributing any part of the Services without authorization.
  • Engaging in market manipulation, wash trading, or abusive trading practices.

6. Fees and Pricing

Fees, spreads, and exchange rates are displayed at the time of each transaction and are subject to change. All fees are non-refundable unless otherwise required by law or agreed by us in writing. You are responsible for any third-party fees, including blockchain network fees and payment processor charges.

7. Transactions and Escrow

When you initiate a trade, funds are locked in escrow or transferred according to the trade terms. You agree to follow the trade workflow, confirm payments honestly, and release funds only when the agreed conditions are met. ORRANGE reserves the right to intervene in disputes, freeze funds, and take other actions necessary to protect users and comply with legal obligations.

8. Risk Disclosures

Cryptocurrency transactions are irreversible and carry risks, including price volatility, regulatory changes, and counterparty risk. You acknowledge that you understand these risks and that ORRANGE is not responsible for losses arising from market conditions, user error, unauthorized account access due to your negligence, or blockchain network failures.

9. Intellectual Property

All content, trademarks, logos, software, and materials provided by ORRANGE are our property or licensed to us. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of any content you submit, but grant us a license to use it to operate and improve the Services.

10. Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms, suspected fraud, legal or regulatory requirements, or risk management concerns. You may close your account by contacting us; however, legal and regulatory obligations may require us to retain certain records.

11. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ORRANGE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED US DOLLARS (USD 100).

12. Indemnification

You agree to indemnify, defend, and hold harmless ORRANGE and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration in accordance with the rules of the applicable arbitration body, except that either party may seek injunctive relief in a court of competent jurisdiction. The arbitration shall take place in the jurisdiction where ORRANGE is established, unless otherwise agreed.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ORRANGE operates, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes not subject to arbitration.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be posted on the Services with an updated effective date. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.
